Terms & Conditions
Our agreement with you
A concise overview of how we work together, how deliverables are handled, and what to expect before, during, and after launch.
1. Scope and deliverables
We define scope, milestones, and acceptance criteria up front. Any additions are agreed in writing before work begins. Deliverables include design files, code, and documentation relevant to the project.
2. Timelines and communication
We share a timeline with checkpoints. You’ll have a primary contact and a shared channel for updates. Response times and meeting cadence are set during kickoff.
3. Payment terms
Payments follow the proposal or SOW (typically a deposit plus milestone-based invoices). Late payments may pause work until balances are cleared.
4. Intellectual property
Upon full payment, you own the project-specific deliverables. We may use pre-existing components and internal libraries; ownership of those remains with Logix, with usage rights granted for your project.
5. Confidentiality and data
Both parties agree to keep shared information confidential. We implement reasonable safeguards for data handling and access. Sensitive credentials should be shared through secure channels.
6. Changes and cancellations
Change requests are reviewed for impact on scope, timeline, and budget. Cancellations or pauses follow the SOW; completed work and in-progress hours are billable.
7. Warranties and limitations
We deliver work to agreed specifications and test against the defined acceptance criteria. Except as stated, services are provided “as is” to the fullest extent permitted by law.
8. Support and maintenance
A stabilization window is included after launch. Ongoing maintenance or feature work can be handled via retainer or separate SOW.
9. Governing law
The agreement is governed by the jurisdiction specified in the SOW or contract. Disputes will be handled in that venue.
